BuyWhere US Terms of Service

1. Introduction

These US Terms of Service ("Terms") govern your access to and use of BuyWhere, Inc.'s ("BuyWhere," "we," "us," or "our") product catalog API, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. About BuyWhere

BuyWhere provides an agent-native product catalog API designed for AI shopping agents and developer applications. Our platform aggregates product data from multiple retail sources to facilitate product discovery, comparison, and referral.

3. Affiliate Disclosure

BuyWhere may receive compensation from merchants or retail partners whose products appear in our catalog. This compensation may take the form of:

  • Affiliate commissions: BuyWhere may earn a commission when users purchase products through referral links in our catalog.
  • Sponsored product placements: Merchants may pay for preferred placement or enhanced visibility within the catalog.
  • Data licensing fees: We may license product data to third parties.

How this affects you: Product rankings, recommendations, and visibility within BuyWhere may be influenced by commercial relationships. We clearly mark sponsored content where applicable, but product placement in search results or recommendations may reflect these relationships.

4. Price Accuracy Disclaimer

4.1 General Disclaimer

BuyWhere aggregates product pricing data from multiple third-party sources, including merchant feeds, retailer websites, and data partners. We do not guarantee the accuracy, completeness, or timeliness of any price information.

Price discrepancies may occur for various reasons, including:

  • Delayed updates from merchant feeds
  • Currency conversion fluctuations
  • Merchant pricing changes not yet reflected in our system
  • Geographic pricing variations
  • Promotional pricing with eligibility requirements

4.2 Price Verification

You acknowledge and agree that:

  1. All prices displayed through BuyWhere are estimates only and subject to change without notice.
  2. Before making any purchase decision, you should verify the current price directly with the merchant via the provided product URL.
  3. BuyWhere is not responsible for any discrepancy between the price shown in our catalog and the final price charged by the merchant.
  4. Final checkout prices are determined solely by the merchant at the time of purchase.

4.3 Currency

All prices are displayed in USD unless otherwise specified. Currency conversion rates are estimates and may not reflect actual rates at the time of transaction.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use BuyWhere for:

  • Product search and discovery in AI applications
  • Price comparison and research
  • Building shopping agent integrations
  • Product recommendation features
  • Academic research and analysis (with attribution)

5.2 Prohibited Uses

You agree not to:

  1. Scraping or data extraction: Use automated tools, bots, or scrapers to extract product data from BuyWhere beyond normal API usage permitted under your subscription tier.

  2. Price manipulation: Use BuyWhere data to engage in price manipulation, price monitoring to enable market timing, or any activity that distorts competitive pricing.

  3. Competing services: Re-sell, redistribute, or repackage BuyWhere data to build a competing product catalog or price comparison service.

  4. Misrepresentation: Represent BuyWhere data as originating directly from merchants or retailers, or imply official endorsements where none exist.

  5. Fraudulent activity: Use BuyWhere data or links to facilitate fraudulent transactions, false advertising, or deceptive commerce practices.

  6. Harmful applications: Build applications that could harm users, interfere with BuyWhere operations, or compromise data security.

  7. Illegal purposes: Use the Service in connection with any illegal activity, goods, or services prohibited under US law.

  8. Abuse of referral links: Manipulate, obscure, or intercept referral parameters; engage in "link cloaking" or URL masking to obscure the source of traffic; or claim referral commissions for transactions you did not genuinely refer.

  9. Bulk data export: Export entire catalog datasets or use the API to replicate the full scope of BuyWhere for purposes other than those explicitly permitted.

5.3 API Usage Limits

Your use of the API is subject to the rate limits and usage tiers associated with your subscription. Excessive or abusive API usage may result in:

  • Temporary throttling
  • Suspension of API access
  • Termination of your account

6. Intellectual Property

6.1 BuyWhere Content

BuyWhere retains all intellectual property rights in the Service, including the catalog structure, aggregation methods, and proprietary data compilations.

6.2 Merchant Data

Product data displayed through BuyWhere, including images, descriptions, and pricing, is provided by merchants and retailers. These third parties retain rights to their respective content.

6.3 Your Application

You retain all rights in your applications, products, or services that integrate with BuyWhere. You grant BuyWhere a limited license to use your application metadata (name, description) for promotional purposes if you publicly integrate with our API.

7. Third-Party Links and Referrals

The Service may include links to merchant websites and affiliate referral links. BuyWhere is not responsible for:

  • The content, products, or practices of any third-party website
  • The accuracy of product descriptions on merchant sites
  • The fulfillment of orders, returns, or customer service by merchants
  • Any transactions between you and third-party merchants

Your interactions with merchants are solely between you and the merchant.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Accuracy: No guarantee that product data, prices, or availability information is error-free or current
  • Availability: No guarantee that the Service will be uninterrupted, secure, or error-free
  • Fitness for purpose: No guarantee that the Service is suitable for your specific use case

You use the Service at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law:

  • BuyWhere shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • BuyWhere's total liability for any claims related to the Service shall not exceed the amount you paid BuyWhere in the twelve (12) months preceding the claim, or $100, whichever is greater
  • BuyWhere is not liable for any damages arising from reliance on price information, product availability, or merchant representations

10. Indemnification

You agree to indemnify, defend, and hold harmless BuyWhere, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your misuse of the Service
  • Any transactions or interactions with merchants via links on the Service
  • Your application or service that integrates with BuyWhere

11. Modifications to Terms

BuyWhere reserves the right to modify these Terms at any time. We will notify users of material changes via:

  • Email notification to registered users
  • Posting on our website with updated "Last Updated" date
  • API dashboard announcements

Continued use after changes constitutes acceptance of the revised Terms.

12. Termination

BuyWhere may suspend or terminate your access to the Service at any time, with or without cause, including for:

  • Violation of these Terms
  • Abuse of the API or Service
  • Fraudulent or illegal activity
  • Extended inactivity

Termination does not relieve you of obligations incurred prior to termination.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact BuyWhere and attempt to resolve the dispute informally within thirty (30) days.

14.2 Arbitration

For users in the United States, you agree to resolve disputes through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court.

14.3 Class Action Waiver

You agree that any arbitration or litigation will be conducted only on an individual basis, and not as a class, consolidated, or representative action.

15. Privacy

Your use of BuyWhere is also governed by our Privacy Policy. Please review it to understand how we collect, use, and protect your data.

17. Entire Agreement

By using BuyWhere, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
